SOFTWARE LICENSE AGREEMENT

IMPORTANT: CUSTOMER DATA & SECURITY RESPONSIBILITIES

Section 1: Customer Responsibilities (Database & Data Security)

1. DATABASE MANAGEMENT - CUSTOMER'S SOLE RESPONSIBILITY

  • Customer is 100% responsible for database security
  • Customer must ensure database is properly secured
  • Customer must set strong database passwords
  • Customer must restrict database access
  • Customer must protect database from unauthorized access
  • Vendor (Natraj Info) has NO access to customer database
  • Vendor is NOT responsible for database security breaches

2. DATA SECURITY - CUSTOMER'S SOLE RESPONSIBILITY

Customer is fully responsible for all data security. Customer must implement proper security measures:

  • Firewall configuration
  • Network security
  • Access control
  • User authentication
  • Data encryption (if required)

Customer must protect against:

  • Unauthorized access
  • Data breaches
  • Malware/virus attacks
  • Network intrusions

Vendor is NOT liable for any data security incidents.

3. DATA BACKUP - CUSTOMER'S SOLE RESPONSIBILITY

  • Customer must maintain regular database backups
  • Customer must test backup restoration procedures
  • Customer must store backups securely
  • Customer must maintain backup retention policy

Vendor is NOT responsible for:

  • Backup failures
  • Data loss due to lack of backups
  • Backup restoration
  • Backup storage security

4. ACCESS CONTROL - CUSTOMER'S SOLE RESPONSIBILITY

  • Customer must manage all user accounts
  • Customer must set appropriate user permissions
  • Customer must revoke access for former employees
  • Customer must monitor user activities
  • Customer must implement password policies

Vendor is NOT responsible for unauthorized access.

5. SYSTEM SECURITY - CUSTOMER'S SOLE RESPONSIBILITY

  • Customer must secure the server/system where Tracker365 is installed
  • Customer must install OS security updates
  • Customer must install antivirus/antimalware
  • Customer must configure firewall rules
  • Customer must protect against system vulnerabilities

Vendor is NOT responsible for system-level security issues.

6. NETWORK SECURITY - CUSTOMER'S SOLE RESPONSIBILITY

  • Customer must secure network access to Tracker365
  • Customer must configure network firewall
  • Customer must use secure protocols (HTTPS if applicable)
  • Customer must restrict network access
  • Customer must monitor network traffic

Vendor is NOT responsible for network security breaches.

Section 2: Vendor Disclaimers (Natraj Info)

1. NO VENDOR ACCESS

  • Vendor (Natraj Info) does NOT have access to customer database
  • Vendor does NOT monitor customer data
  • Vendor does NOT store customer data
  • Vendor does NOT access customer system remotely (unless explicitly requested)
  • All data remains on customer's system

2. NO VENDOR LIABILITY FOR DATA

Vendor is NOT liable for:

  • Data loss
  • Data corruption
  • Data breaches
  • Unauthorized data access
  • Data theft
  • Data deletion

Customer assumes ALL risks related to data.

3. NO VENDOR LIABILITY FOR SECURITY

Vendor is NOT liable for:

  • Security breaches
  • Unauthorized access
  • System vulnerabilities
  • Network attacks
  • Malware infections
  • Database attacks

Customer is solely responsible for security.

4. NO VENDOR LIABILITY FOR BACKUP

Vendor is NOT liable for:

  • Backup failures
  • Incomplete backups
  • Backup corruption
  • Inability to restore backups
  • Data loss due to lack of backups

Customer must maintain own backups.

5. SOFTWARE PROVIDED "AS IS"

  • Tracker365 is provided "as is"
  • Vendor provides software functionality only
  • Vendor does NOT provide:
    • Security services
    • Backup services
    • Monitoring services
    • Data protection services
  • Customer must implement own security measures

Section 3: Data Loss & Breach Policy

1. DATA LOSS - CUSTOMER'S RISK

  • Customer acknowledges risk of data loss
  • Customer must maintain backups
  • Vendor is NOT responsible for data loss
  • Vendor does NOT provide data recovery services
  • Customer must implement disaster recovery plan

2. DATA BREACH - CUSTOMER'S RESPONSIBILITY

  • Customer must report breaches to authorities (if required)
  • Customer must notify affected parties (if required)
  • Customer must investigate breaches
  • Customer must implement breach prevention

Vendor is NOT responsible for breach notification or compliance.

3. COMPLIANCE - CUSTOMER'S RESPONSIBILITY

Customer must comply with:

  • Data protection laws (GDPR, etc.)
  • Industry regulations
  • Privacy requirements
  • Security standards

Vendor is NOT responsible for compliance. Customer must ensure compliance independently.

Section 4: Complete Liability Waiver

LIABILITY WAIVER FOR DATABASE & DATA SECURITY

Customer hereby acknowledges and agrees that:

1. VENDOR HAS NO LIABILITY

Vendor (Natraj Info) shall have NO liability whatsoever for:

  • Any data loss, corruption, or deletion
  • Any security breaches or unauthorized access
  • Any database failures or issues
  • Any backup failures or inability to restore
  • Any system vulnerabilities or attacks
  • Any network security issues
  • Any compliance violations
  • Any business interruption due to data issues

2. CUSTOMER ASSUMES ALL RISKS

Customer assumes ALL risks related to:

  • Database management and security
  • Data storage and protection
  • Backup and recovery
  • Access control and user management
  • System and network security
  • Compliance with laws and regulations

3. CUSTOMER INDEMNIFICATION

Customer agrees to indemnify and hold harmless Vendor from:

  • Any claims related to data loss
  • Any claims related to security breaches
  • Any claims related to unauthorized access
  • Any regulatory actions or fines
  • Any third-party claims
  • Any damages or losses

4. MAXIMUM LIABILITY

Vendor's maximum liability (if any) is limited to:

  • The amount paid for the license
  • No liability for indirect, consequential, or special damages
  • No liability for lost profits or business interruption

5. NO WARRANTIES

Vendor provides NO warranties regarding:

  • Data security
  • Database performance
  • Backup reliability
  • System security
  • Protection against attacks

Section 5: Customer Obligations

CUSTOMER MUST:

1. SECURITY OBLIGATIONS:

  • ✓ Implement strong database passwords
  • ✓ Configure firewall rules
  • ✓ Install security updates
  • ✓ Use antivirus/antimalware
  • ✓ Restrict network access
  • ✓ Monitor system logs
  • ✓ Implement access controls

2. BACKUP OBLIGATIONS:

  • ✓ Perform daily database backups
  • ✓ Test backup restoration monthly
  • ✓ Store backups securely (offsite recommended)
  • ✓ Maintain backup retention (minimum 30 days)
  • ✓ Document backup procedures

3. ACCESS CONTROL OBLIGATIONS:

  • ✓ Create user accounts properly
  • ✓ Set appropriate permissions
  • ✓ Revoke access for former employees
  • ✓ Monitor user activities
  • ✓ Implement password policies
  • ✓ Use strong passwords

4. COMPLIANCE OBLIGATIONS:

  • ✓ Comply with data protection laws
  • ✓ Comply with industry regulations
  • ✓ Maintain audit trails
  • ✓ Report breaches (if required)
  • ✓ Protect personal data

5. MONITORING OBLIGATIONS:

  • ✓ Monitor system performance
  • ✓ Monitor database health
  • ✓ Monitor security events
  • ✓ Review access logs
  • ✓ Check for vulnerabilities
